Notice: This document is a working draft maintained by Tracetex 360 Innovations (OPC) Pvt Ltd. It is provided for transparency and is being refined in consultation with qualified legal counsel. It does not constitute legal advice, and specific commercial engagements are governed by separately signed agreements.
1. Agreement
These Terms of Service ("Terms") govern access to and use of the websites, applications, APIs, and platforms operated by Tracetex 360 Innovations (OPC) Pvt Ltd. ("Tracetex", "we", "us"), including tracetex.in, tracetexinfra.com, digiwardrobe.lovable.app, and the Tracetex Command Center (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation. Enterprise engagements may be governed by a separately signed order form or master services agreement, which will prevail in the event of conflict.
2. Accounts and Eligibility
- You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must provide accurate, current, and complete information and update it as needed.
- We may suspend or terminate accounts that violate these Terms, harm other users, or expose Tracetex to legal or security risk.
3. The Services
Tracetex provides digital traceability, Digital Product Passport (DPP), Unique ID (UID), and QR-code infrastructure for the textile industry, including tooling for certification bodies and consumer-facing garment lookups. The specific features available depend on your subscription tier (for example Trace Basic, Trace Grow, or Trace Enterprise) and any add-on modules. We may update, modify, or discontinue features with reasonable notice where such changes could materially affect your use.
4. Fees, Billing, and Renewals
- Subscription fees are charged in advance on a monthly or annual basis via our payment processor. Applicable taxes will be added where required.
- Unless cancelled before the end of the current term, subscriptions renew automatically at the then-current price.
- Except where required by law, fees are non-refundable. Downgrades take effect at the next renewal.
- Late payments may result in suspension of the Services after prior notice.
5. Customer Data and Licence
You retain all rights in the data you or your users upload to the Services ("Customer Data"), including product, supplier, and traceability records. You grant Tracetex a non-exclusive, worldwide licence to host, process, transmit, and display Customer Data solely to provide and improve the Services, comply with law, and produce aggregated, de-identified analytics that do not identify you or any individual.
You represent that you have all necessary rights, consents, and lawful bases to upload Customer Data (including any personal data of workers, suppliers, or partners), and that Customer Data does not violate any law or third-party right.
6. Acceptable Use
You agree not to:
- Upload false, misleading, or fraudulent certification, sustainability, or origin claims.
- Use the Services to launder counterfeit goods or misrepresent the provenance of products.
- Attempt to reverse engineer, decompile, or bypass the technical or security controls of the Services (except to the extent expressly permitted by law).
- Interfere with, disrupt, or overload the Services, or attempt to gain unauthorised access to accounts or systems.
- Use the Services in violation of applicable export control, sanctions, anti-corruption, or data protection laws.
7. Intellectual Property
The Services, including the Tracetex name and logo, the Core Interoperable Traceability ("CIT") framework, all software, designs, documentation, and content (excluding Customer Data) are owned by Tracetex or its licensors and are protected by intellectual property laws. Tracetex grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services in accordance with these Terms and your subscription. All rights not expressly granted are reserved.
8. Third-Party Services
The Services may integrate with third-party platforms (including Supabase, Stripe, and email providers). Your use of those platforms is governed by their own terms and privacy policies. Tracetex is not responsible for the availability or acts of third-party services beyond its reasonable control.
9. Warranties and Disclaimers
The Services are provided on an "as is" and "as available" basis. Except as expressly set out in these Terms or a signed order form, Tracetex disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Tracetex does not warrant that the Services will be uninterrupted, error-free, or that they will meet any specific regulatory outcome. Tracetex is not a certification body, testing laboratory, or legal advisor; the Services support compliance workflows but do not themselves constitute a certification or a legal opinion.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data, arising from or related to the Services. Tracetex's aggregate liability arising out of or relating to the Services in any 12-month period will not exceed the fees paid by you to Tracetex for the Services during that period. These limitations do not apply to liability that cannot be excluded under applicable law (for example, gross negligence, wilful misconduct, or breaches of statutory consumer rights).
11. Indemnification
You will defend and indemnify Tracetex against third-party claims arising from (a) your Customer Data, (b) your use of the Services in violation of these Terms or applicable law, or (c) your infringement of a third party's rights, subject to Tracetex promptly notifying you of the claim and cooperating in the defence.
12. Termination
Either party may terminate for material breach that remains uncured after 30 days' written notice. Upon termination, your right to use the Services ends. Sections that by their nature should survive termination (including intellectual property, confidentiality, warranty disclaimers, limitation of liability, and dispute resolution) will survive.
13. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Subject to mandatory local consumer protection laws, the courts at Kolkata, West Bengal, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services. The parties will first attempt in good faith to resolve disputes through informal negotiation for a period of at least 30 days before initiating formal proceedings.
14. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Continued use of the Services after the effective date of the updated Terms constitutes acceptance.
